1. Who we are

GenIA Wallet ("GenIA Wallet", "we", "us", "our") is operated by Ada Sarai Sanchez Pallares, based in California, United States ("Seller"). By accessing or using GenIA Wallet (the "Service") you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Acceptance

Your continued use of the Service constitutes acceptance of these Terms and of any future updates. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization. Individual users must be of legal age to enter into a binding contract in their jurisdiction.

3. The Service

GenIA Wallet is an AI-powered "Life Operating System" that helps users organize their finances, plans, documents and personal goals through modules such as Wallet, Mindset, Planner, Growth, Secure Vault, Family, Health and Legacy. Features and modules may evolve. We may add, modify or discontinue functionality at any time.

4. Accounts and credentials

You are responsible for keeping your login credentials confidential and for all activity under your account. You agree to provide accurate information and to keep it up to date.

5. Acceptable use

You agree not to misuse the Service. Prohibited conduct includes, without limitation:

  • Any unlawful, fraudulent, deceptive or abusive activity;
  • Sending spam, malware or engaging in phishing;
  • Infringing the intellectual property or privacy rights of any third party;
  • Probing, scanning, scraping or interfering with the security or integrity of the Service;
  • Reverse engineering, decompiling, or attempting to derive the source code of the Service;
  • Reselling, redistributing or circumventing usage limits of the Service.

6. AI-generated content

Certain features of GenIA Wallet rely on generative AI (including third-party AI models). You agree to the following:

  • You will not use AI features to generate illegal content, deepfakes, hate speech, harassment, malware, sexual content involving minors, or content designed to defraud or manipulate.
  • You will not attempt to jailbreak, bypass safety systems, or misrepresent AI outputs as advice from a licensed professional.
  • You are solely responsible for your prompts, for how you use AI outputs, for verifying their accuracy, and for having the necessary rights over any content you submit.
  • AI outputs may be inaccurate, incomplete or biased. They are provided for general informational purposes and are not financial, investment, legal, tax, medical or psychological advice. Do not rely on them for regulated professional decisions without qualified human oversight.
  • You retain rights to your inputs; as between you and us, you own the outputs you generate, subject to third-party rights and applicable law. We may remove, restrict or refuse content and outputs at our discretion, and may suspend accounts that repeatedly infringe rights of others.
  • Rights-holders may submit takedown or infringement complaints to info@geniawallet.app.

7. Intellectual property

The Service, its software, documentation, design, trademarks and branding are and remain the exclusive property of the Seller and its licensors. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service within your active plan.

8. Your content

You retain ownership of the data and content you upload. You grant us a limited license to host, store, and process such content solely as needed to operate and improve the Service for you.

9. Payments, subscriptions, taxes and refunds

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment terms, billing frequency, currencies, applicable taxes, cancellations, renewals and refund mechanics are governed by Paddle's Buyer Terms and our own Refund Policy.

Subscriptions renew automatically at the end of each billing period unless cancelled beforehand. You can manage or cancel your subscription from the in-app Billing page or from paddle.net.

10. Service availability and warranties

The Service is provided "as is" and "as available". We do not guarantee that it will be uninterrupted, error-free or free from vulnerabilities. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of liability

To the fullest extent permitted by law, our aggregate liability for any claim arising out of or related to the Service is limited to the fees paid by you to us during the twelve (12) months preceding the event giving rise to the claim. We are not liable for indirect, incidental, consequential, special or punitive damages, including loss of profits, data, goodwill or business opportunity. Nothing in these Terms limits liability for fraud, gross negligence, death or personal injury where such limitation is prohibited by law.

12. Indemnification

You agree to indemnify and hold harmless the Seller from any claim, damage or expense arising from your content, your use of the Service, your violation of these Terms, or your infringement of any third-party right.

13. Suspension and termination

We may suspend or terminate your access to the Service for material breach of these Terms, non-payment, security or fraud risk, or repeated or serious policy violations. On termination, your right to use the Service ends immediately; you may request an export of your data within 30 days, after which we may delete it.

14. Governing law and disputes

These Terms are governed by the laws of the State of California, United States, without regard to conflict-of-law rules. Any dispute will be resolved by the state or federal courts located in California, unless mandatory law provides otherwise.

15. Assignment and force majeure

You may not assign these Terms without our prior written consent. We may assign them in the context of a merger, acquisition or sale of assets. Neither party is liable for delays or failures caused by events beyond its reasonable control.

16. Contact
